- Other customized creative and technical services
4. Client Responsibilities
Clients agree to:
- Provide complete and accurate project requirements
- Share relevant brand assets (logos, colors, fonts, etc.)
- Respond in a timely manner to requests for feedback, approvals, or content
- Respect the timelines mutually agreed upon
- Ensure all submitted content is original and does not violate intellectual property rights
5. Pricing and Payments
- 25% upfront payment required to initiate the project
- 50% midway payment upon completion of major deliverables
- 25% final payment upon project approval, before final handover
- Payments are non-refundable once the corresponding stage is completed
All prices quoted are exclusive of applicable taxes (GST).
6. Intellectual Property
- All designs, websites, and materials remain the property of We Define Net until full payment is received.
- We reserve the right to showcase completed work in our portfolio or for marketing purposes.
7. Revisions and Change Requests
- Minor revisions within scope are included.
- Major revisions, additional features, or changes beyond the agreed scope will incur additional charges.
- All change requests must be submitted in writing and approved by both parties.
8. Turnaround Time and Delays
- Delivery timelines are approximate and depend on timely client responses.
- Delays caused by the client (non-response, delayed content, etc.) may push the timeline and result in extra costs if rescheduling is required.
9. Cancellation Policy
If the client cancels after the project starts:
- Upfront payment is non-refundable.
- Mid-project cancellations will incur proportional charges for work completed.
We Define Net may cancel service for breach of contract or non-payment.
10. Refund Policy
Refunds are only considered:
- Before project start (less admin charges)
- If We Define Net fails to deliver as per scope, with valid documentation
- Partial refunds for incomplete milestones, if eligible
11. Limitation of Liability
We Define Net shall not be liable for:
- Loss of profits, data, or goodwill arising from use of our services
- Any third-party platform failures (e.g., social media account bans)
- Client-side delays or lack of cooperation impacting outcomes
Maximum liability shall not exceed the total amount paid by the client for the service.
12. Confidentiality
Both parties agree to maintain confidentiality of all non-public business information, documents, and data shared during the course of the project.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
14. Force Majeure
We are not liable for delays or failure in performance due to events beyond our control (natural disasters, strikes, internet outages, etc.).
15. Updates to Terms
We may revise these Terms periodically. Updated terms will be posted on our website with a new effective date. Continued use of our services implies acceptance of the updated terms.
